These Terms and Conditions ("Terms") govern your access to and use of ScaffoldNote (the "Service"), operated by [legal entity name] ("ScaffoldNote," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
ScaffoldNote is a documentation assistance tool for physical, occupational, and speech therapists. ScaffoldNote helps users assemble commonly used clinical narrative language — such as evaluation summaries and treatment note phrasing — from the user's own saved phrases and sentence builders. ScaffoldNote does not generate clinical judgments, diagnoses, or treatment recommendations, and it does not submit documentation to any electronic medical record (EMR), billing system, or third party on the user's behalf. The user is solely responsible for reviewing, editing, and manually entering any resulting text into their own systems of record.
You must provide a valid email address and password to create an account. You must be a licensed healthcare professional (or otherwise authorized to perform the clinical documentation the Service assists with) to use ScaffoldNote for its intended purpose. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
ScaffoldNote is designed to never store patient-identifiable information of any kind. The Service is intended to hold only generic clinical phrasing — language that is not tied to any specific patient — along with your own usage patterns for that language. This design is fundamental to what ScaffoldNote is and how it operates.
You are solely and entirely responsible for ensuring that any text, document, or content you type, paste, or upload into ScaffoldNote — including but not limited to snippet libraries, saved phrases, and any future document-import features — does not contain Protected Health Information (PHI), as defined under HIPAA, or any other patient-identifiable or otherwise confidential information. This includes patient names, dates of birth, medical record numbers, dates of service tied to an identifiable patient, and any other information that could reasonably identify a specific patient.
ScaffoldNote may provide automated tools intended to help detect and flag content that appears to contain PHI. Any such tools are provided as a supplementary aid only, are not guaranteed to detect all instances of PHI, and do not shift responsibility away from you. You remain responsible for reviewing all content before entering it into the Service, regardless of whether an automated tool is present, enabled, or functioning correctly at any given time.
To the fullest extent permitted by law, ScaffoldNote disclaims all liability for any PHI or other patient-identifiable information that you enter, upload, or otherwise submit to the Service, and for any consequences arising from that submission, including but not limited to regulatory violations, breach notification obligations, or third-party claims. You agree to indemnify and hold ScaffoldNote harmless from any claims, damages, or regulatory action arising from your submission of PHI or other patient-identifiable information to the Service, as further described in Section 11 (Indemnification).
ScaffoldNote is offered on a paid subscription basis at the pricing displayed at signup (currently $20/month or $180/year). A payment method is required to begin. New accounts receive a 14-day free trial; you will not be charged until the trial period ends unless you cancel before it does. Subscriptions automatically renew at the end of each billing period until cancelled.
You may cancel your subscription at any time. Upon cancellation, you will retain read-only access to your existing saved content but will lose access to paid features at the end of your current billing period.
Annual subscriptions may be cancelled for a full refund within 30 days of the first annual charge. Outside that window, ScaffoldNote does not provide refunds for partial billing periods except where required by law.
You retain ownership of the text and phrases you save in ScaffoldNote ("Your Content"). You grant ScaffoldNote a limited license to store, process, and display Your Content solely for the purpose of providing the Service to you. ScaffoldNote does not sell Your Content or use it to train third-party models. You are responsible for the accuracy, legality, and appropriateness of Your Content, including compliance with Section 4 above.

The Service, including its design, code, default phrase libraries, and branding, is the property of ScaffoldNote and is protected by applicable intellectual property laws. These Terms do not grant you any rights to ScaffoldNote's intellectual property except the limited right to use the Service as intended.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. STREAMLINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY TEXT GENERATED OR ASSEMBLED BY THE SERVICE IS CLINICALLY OR BILLING-CODE ACCURATE. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING ALL OUTPUT BEFORE USING IT IN ANY CLINICAL, BILLING, OR LEGAL CONTEXT.
TO THE FULLEST EXTENT PERMITTED BY LAW, STREAMLINE AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. STREAMLINE'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO STREAMLINE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless ScaffoldNote and its owners, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your submission of PHI or other patient-identifiable information to the Service; or (c) your misuse of the Service.
You may stop using the Service and cancel your account at any time. ScaffoldNote may suspend or terminate your account if you violate these Terms, including by submitting PHI to the Service in violation of Section 4. ScaffoldNote may also discontinue the Service, in whole or in part, with reasonable notice.
ScaffoldNote may update these Terms from time to time. Material changes will be communicated to active subscribers by email or in-app notice before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles, unless otherwise required by applicable law.
